Supply Contracts: Beyond the Basics

Date: Wednesday, May 21, 2014

Time: 1:00 – 2:15pm ET (10:00 - 11:15am PT)

Buyers and sellers of goods frequently use supply contracts as part of their procurement and sales processes. Often the supply contracts are part of a documentation “package” that includes requests for quotations (RFQs), award letters, purchase orders, standard terms and conditions, and emails that explain or supplement contract provisions. These contracts are often entered into with little or no input from attorneys.  Aside from creating fertile ground for disputes, supply contracts become critical when disputes turn into litigation.

Join Practical Law and Honigman Miller Schwartz & Cohn LLP for a free 75-minute webinar that goes beyond the basics of drafting supply contracts. This webinar focuses on common supply contract negotiating and drafting errors and challenges, steps to avoid disputes, and if a dispute  arises, how to best position your client in the dispute resolution process. Attendees will learn:

  • When and why supply contracts should be used (or not used)
  • Best practices in negotiating and drafting supply contracts
  • How to win the battle of the forms
  • Proper use of common terms in supply contracts, such as duration and termination, warranties, remedies, dispute resolution, choice of law and forum, and indemnification
  • How to avoid issues that arise from the use of email in the negotiating and contracting process
A short Q&A session will follow.
